default in filing of E-form 32 of Resignation of dir.

NED of a public co. resigned (in 2007) by sending a letter to the board but co. omits to file form 32 for his resignation.
Co. had filed the annual return for two succeeding years (year ending 2008 & 2009) excluding the name of the director concerned.
Anyhow it comes under the knowledge of the co. presently. what are the ways for the co. to make the omission/ default good, and what are the consequence of this def
